Additional work outside the agreed scope may require additional fees and may be subject to a separate agreement or written approval.

6. Project Scope and Deliverables

The scope of each consulting engagement may vary depending on the client’s needs and the applicable agreement.

Deliverables may include strategic recommendations, reports, analyses, marketing materials, advertising reports, business plans, operational recommendations, design materials, presentations, or other agreed-upon work products.

JMJ will make reasonable efforts to provide deliverables according to the agreed scope and timeline.

Timelines may change when delays result from client approvals, third-party providers, unavailable information, changes in project scope, technical issues, or circumstances outside JMJ’s reasonable control.

7. Intellectual Property

Unless otherwise agreed in writing, JMJ retains ownership of its pre-existing materials, methodologies, processes, templates, systems, frameworks, tools, know-how, and proprietary resources used to provide services.

Client-specific deliverables may be subject to the ownership and usage rights established in the applicable consulting agreement or statement of work.

During a consulting engagement, clients may provide confidential business information to JMJ, including financial, operational, marketing, advertising, staffing, vendor, customer, menu, sales, strategic, or other proprietary information.

JMJ will use confidential client information only as reasonably necessary to provide the agreed services and perform authorized business functions.

JMJ does not sell confidential client business information.

Confidentiality obligations may also be governed by a separate confidentiality agreement or other written agreement between JMJ and the client.

9. Google Ads Management and Advertising Services

JMJ may manage, monitor, analyze, optimize, or report on Google Ads accounts when a client has authorized JMJ to do so.

Client advertising accounts may be accessed through a Google Ads Manager Account (MCC) or through other permissions specifically granted by the client or account administrator.

JMJ may perform activities such as campaign monitoring, reporting, performance analysis, optimization, keyword management, budget recommendations, campaign-status changes, and other authorized advertising-management activities.

JMJ does not guarantee specific advertising results, including impressions, clicks, conversions, revenue, return on ad spend, cost per acquisition, or profitability.

Advertising performance may be affected by factors outside JMJ’s control, including market conditions, competition, platform policies, advertising auctions, customer behavior, website performance, tracking configuration, budgets, and changes made by advertising platforms.

10. Google Ads API

JMJ may use the Google Ads API to securely access Google Ads information for advertising accounts that JMJ is authorized to manage.

Depending on the client’s authorization and the functionality being used, information accessed may include account information, campaign information, ad groups, advertisements, keywords, search terms, advertising costs, clicks, impressions, conversions, conversion values, budgets, bidding information, and other Google Ads performance data.

Such information is used to provide authorized advertising management, reporting, analysis, monitoring, optimization recommendations, account comparisons, and related consulting services.

JMJ does not sell Google Ads API data or use such information for unrelated purposes.

JMJ’s use of information received through Google APIs is subject to applicable Google API policies, Google Ads API policies, account permissions, and applicable privacy requirements.

11. Client Authorization and Advertising Account Access

JMJ’s access to a client’s advertising account is based on permissions granted by the client or an authorized account administrator.

Clients are responsible for ensuring that they have the authority to grant JMJ access to their advertising accounts and related information.

Clients may revoke JMJ’s access to their Google Ads accounts through applicable account-access settings.

Once access has been revoked, JMJ may no longer be able to perform services that require access to the applicable account.

12. Automated Analysis and AI-Assisted Tools

JMJ may use internal software, reporting systems, automation, or AI-assisted tools to analyze authorized advertising data and assist its marketing professionals in identifying trends, performance issues, optimization opportunities, and recommended actions.

Where applicable, these systems may process authorized advertising data through secure internal connectors or authorized integrations.

AI-assisted tools are used to support JMJ’s professional services and do not replace appropriate human oversight.

Where advertising-account changes are supported by JMJ’s tools, such changes will be performed only within the permissions granted to JMJ.

JMJ may implement approval procedures or human review before significant advertising-account modifications are made.

13. Third-Party Services

JMJ may rely on third-party providers for website hosting, analytics, communications, scheduling, advertising, reporting, cloud services, payment processing, software, technology integrations, and other business functions.

Third-party services may be subject to their own terms, conditions, and privacy policies.

JMJ is not responsible for the availability, performance, security, policies, or practices of third-party services that are outside JMJ’s direct control.

14. Third-Party Websites and Links

Our website may contain links to third-party websites or services.

These links are provided for convenience or informational purposes. JMJ does not control and is not responsible for the content, availability, security, terms, or privacy practices of third-party websites.

Accessing third-party websites is at your own risk.

15. Business and Financial Information

JMJ may provide business analysis, financial analysis, profitability recommendations, funding support, investor presentation assistance, or other business-related consulting services.

Unless expressly agreed otherwise in writing, JMJ does not provide legal, tax, accounting, investment, securities, insurance, or other regulated professional advice.

Clients should consult appropriately licensed professionals for matters requiring specialized legal, tax, accounting, investment, or regulatory advice.

16. No Guarantee of Results

JMJ makes no guarantee regarding the results of consulting, marketing, advertising, operational, financial, branding, real estate, or other services.

Business performance depends on numerous factors, many of which are outside JMJ’s control.

Past performance, examples, projections, recommendations, estimates, or business analyses should not be interpreted as guarantees of future results.

Any liability arising from a specific consulting engagement may also be subject to the limitations contained in the applicable written agreement between JMJ and the client.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

19. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless JMJ, its owners, employees, consultants, contractors, and representatives from claims, liabilities, damages, losses, costs, and expenses arising from:

20. Termination

JMJ may suspend or terminate access to the website or discontinue services where permitted by applicable agreements or law.

A consulting engagement may also be terminated according to the terms of the applicable proposal, contract, statement of work, engagement letter, or other written agreement.

Termination does not automatically eliminate obligations that by their nature should continue after termination, including confidentiality, intellectual property, payment obligations, limitations of liability, and applicable dispute provisions.

21. Force Majeure

JMJ will not be responsible for delays or failures in performance caused by circumstances beyond its reasonable control.

Such circumstances may include natural disasters, severe weather, government actions, power outages, internet or telecommunications failures, cyber incidents, labor disruptions, platform outages, third-party service failures, public emergencies, or other events beyond JMJ’s reasonable control.

22. Changes to These Terms

JMJ may update these Terms periodically to reflect changes in our services, technology, legal obligations, or business practices.

When changes are made, we may update the Effective Date shown at the top of this page.

Your continued use of the website after updated Terms are posted may constitute acceptance of the revised Terms to the extent permitted by applicable law.

23. Governing Law

These Terms shall be governed by and interpreted in accordance with the applicable laws of the jurisdiction in which JMJ Restaurant Consulting LLC is organized, without regard to conflict-of-law principles, unless otherwise required by applicable law or provided in a separate written agreement.

Any dispute relating to a specific consulting engagement may be subject to the dispute-resolution provisions contained in the applicable client agreement.

These Terms govern your general use of the JMJ website.

For consulting clients, these Terms may be supplemented or superseded by a separate proposal, statement of work, engagement letter, consulting agreement, confidentiality agreement, or other written agreement.

If there is a conflict between these Terms and a specific written agreement between JMJ and a client, the specific written agreement will control to the extent of the conflict.
